website that is designed to help users plan their careers in their best interest. This document
serves as an electronic record, in compliance with the Information Technology Act, 2000 and
applicable rules made thereunder. It is generated by a computer system and does not
require any physical or digital signatures.
As per the provisions of Rule 3
(1) of the Information Technology (Intermediaries guidelines)
Rules, 2011, this document is published to provide information about the rules and
regulations, privacy policy, and user agreement of access or usage of our website, which can
be found at www.studentoutreach.in.
Before using our products or services, we ask that you carefully read and agree to the terms
and conditions outlined in this End User License Agreement (EULA). By accessing our site,
you are deemed to have read and accepted the terms of the EULA. Please note that we
reserve the right to update or modify the EULA at our discretion. Therefore, we recommend
that you review it regularly to keep yourself informed of any changes. If you continue to
access our website after any such changes have been made, you will be deemed to have
accepted and agreed to them.
If you do not agree to the terms and conditions outlined in the EULA, we request that you do not
access or use our website or services.

TERMINOLOGY USED IN EULA

The present EULA refers to the following terms:
The term ‘STUDENT OUTREACH’ is used in this agreement to refer to the Website,
its owner, directors, employees, and any individuals/entities associated with the
Owner. ‘Owner’ refers to STUDENT OUTREACH
The term ‘USER’ or ‘YOU’ or ‘YOUR’ is used in this agreement to refer to any person
who accesses the website or registers on the website for the various services it
offers (including but not limited to individuals, legal entities, societies, groups, etc.).
The term ‘OUR WEBSITE’ or ‘WEBSITE’ is used in this agreement to refer to the
Website www.studentoutreach.in

The term ‘OUR PRODUCTS/SERVICES’ is used in this agreement to refer to the
products/services provided by the Website or its associated entities, excluding any
advertisements displayed on the Website.
The term ‘APPROPRIATE GOVERNMENT’ is used in this agreement to refer to the
Central/State Government or Local authorities, as applicable.
These terms and conditions apply to both the singular and plural forms of the terms
used. Whenever necessary, any pronoun used in this agreement includes both the
corresponding masculine and feminine form. The terms defined in this agreement
also apply to the Privacy Policy and the Disclaimer of the Website.

ELIGIBILITY

The Website is available for use by all individuals, entities, companies, and
partnership firms, subject to their capability to enter into a valid contract as per the
Indian Contract Act, 1872. However, registration on the Website is only permitted for
those who are capable of entering into a valid contract as per the Indian Contract
Act, 1872.
Individuals who are “incompetent to contract” under the Indian Contract Act, 1872,
including minors, un-discharged insolvents, etc., are not eligible to use the Website,
except under the legal or constructive guardianship of persons capable of entering
into contracts on behalf of such minor users.
During the registration process, you must ensure that the information you provide is
accurate and that you are authorized to accept this agreement and bind yourself or
your business entity to this agreement. You confirm that you will use/browse the
Website in accordance with the EULA.
STUDENT OUTREACH reserves the right to terminate your registration and deny
access to the Website if it is brought to our attention that you are using the site in
violation of the EULA or if we decide to do so at our sole discretion without any
reason provided.

REGISTRATION OBLIGATION

It is your responsibility to maintain the confidentiality of your User ID and Password
and to ensure that they are not shared with others. All activities that occur under your
User ID and Password are your responsibility. You agree to provide accurate,
current, and complete information about yourself during the registration process and
to promptly update your information as needed. You must immediately report any

unauthorized use of your account or any other security breach. If you provide false or
incomplete information or violate this agreement, STUDENT OUTREACH may
suspend or terminate your registration with the website. Failure to comply with this
clause will not hold STUDENT OUTREACH liable for any resulting loss or damage.

ELECTRONIC REGISTRATION AND COMMUNICATION

If you use the Website or send any electronic data, information, or communication to
STUDENT OUTREACH, you acknowledge that such communication takes place through
electronic records. By doing so, you also agree to receive electronic communications from
us. We may communicate with you through email, posting notices on the Website, or any
other STUDENT OUTREACH services.

DESCRIPTION OF SERVICES

STUDENT OUTREACH provides a platform that utilizes technology and research, to
assist students in career planning and development along with guidance sessions
from our team or volunteers. STUDENT OUTREACH offers unique career guidance,
counseling, and mentoring that includes but is not limited to psychometric
assessments, career counseling and guidance, interactive career-focused activities,
and career progression or tracking mechanisms, which are provided from time to
time to assist and guide users. We also provide workshops, seminars, networking
events, competitions and many more profile building activities for students.
By agreeing to this agreement, you acknowledge that you are using the services of
STUDENT OUTREACH at your own discretion and responsibility, and without any
undue influence from STUDENT OUTREACH (or under the supervision of a
guardian, in the case of minors).
Furthermore, you agree to use the services with due care and diligence, in
accordance with the terms and conditions of the EULA and the respective service(s)
you are availing.

FEES

STUDENT OUTREACH will charge a fee for the services it provides, as per the fee
structure specified on the website. By using any paid services, you agree to pay the
applicable fees in advance.
You also agree not to raise any disputes regarding the fees charged for the services,
as you have accepted them willingly and without any undue influence.

Before making any payments, you confirm that you have read and accepted the
terms and conditions of the payment process, as prompted by STUDENT
OUTREACH.
Please note that STUDENT OUTREACH uses third-party payment providers for
receiving payments, and hence cannot be held responsible for any delays, errors or
cancellations of orders due to payment issues. While we take utmost care in working
with these providers, we have no control over their systems, processes, technology
or workflows.
The fee charged by STUDENT OUTREACH will be decided solely by us, and users
will not have any right to interfere in this decision.

TAXES

By accepting the terms and conditions of using our services, you agree to be responsible for
any applicable taxes, charges, cess, etc. that may be levied by the Central or State
Government from time to time, unless they are already included in the price offered.

REFUND POLICY

The services provided by STUDENT OUTREACH, such as counseling and assessment
tests, are considered as reliable guidance to the users and are rendered immediately upon
availing. Therefore, there is no provision for the refund of the fee paid by the user/s. By using
the services and paying the fee, the user/s acknowledges and agrees that the fee is non-
refundable.

TERM AND TERMINATION OF THE CONTRACT

The agreement between the STUDENT OUTREACH and the user/s only comes into
effect once the user/s avails the services in exchange for consideration. Access to
the free portion of the website is provided solely for the benefit of the user/s and does
not create any contractual obligation between the user/s and the STUDENT
OUTREACH in any way.
The contractual agreement for the services availed will strictly adhere to the terms of
the services rendered and will terminate as soon as the services have been
provided. STUDENT OUTREACH reserves the right to terminate the contract at any
time and with immediate effect (by disabling the user/s access to the Website and
Service) if the user/s violate or breach any term of the EULA or misuse the Website
or Service, or for any reason at the sole discretion of the STUDENT OUTREACH
without any obligation to assign a reason.

STUDENT OUTREACH is not obligated to provide prior notice of the termination of
the contract.

WEBSITE LICENSE

Provided that you comply with these EULA, STUDENT OUTREACH gives you a
limited, non-exclusive, and non-transferable license to use the Website. However,
you must not engage in any of the following activities:
License, sub-license, sell, resell, transfer, assign, distribute, or commercially exploit
or make available to any third party the Service or Website in any way;
Modify or create derivative works based on the Service or Website;
Create internet links to the Service or “frame” or “mirror” any Website or any other
server or wireless or Internet-based device;
Reverse engineer or access the Website to design or build a competitive product or
service, design or build a product using similar ideas, features, functions, or graphics

of the Service or Website, or copy any ideas, features, functions or graphics of the
Service or Website;
Launch an automated program or script, including but not limited to, web spiders,
web crawlers, web robots, web ants, web indexers, bots, viruses or worms, or any
program that may make multiple server requests per second, or unduly burdens or
hinders the operation and/or performance of the Website;
Send spam or otherwise duplicative or unsolicited messages in violation of applicable
laws;
Send or store infringing, obscene, threatening, libelous, or otherwise unlawful or
tortuous material, including material harmful to children or violative of third-party
privacy rights;
Send or store material containing software viruses, worms, Trojan horses, or other
harmful computer code, files, scripts, agents or programs;
Interfere with or disrupt the integrity or the performance of the Website, the Website
or Service, or the data contained therein;
Attempt to gain unauthorized access to the Website;
Authorize others to use your account;
Assign or transfer your account to any other person or legal entity;
Use an account that is subject to any rights of a person other than you without
appropriate authorization;
Use the Service or Website for unlawful purposes, including but not limited to
sending or storing any unlawful material or for fraudulent purposes;
Provide us with whatever proof of identity we may reasonably request;
Comply with all applicable laws from your home nation, the country, state and/or city
in which you are present while using the Website or the Service.
STUDENT OUTREACH reserves the right to investigate and prosecute violations of
any of the above to the fullest extent of the law. STUDENT OUTREACH may involve
and cooperate with law enforcement authorities in prosecuting users who violate
these User Terms. Although STUDENT OUTREACH has no obligation to monitor
your access to or use of the Website, Service, or Collective Content or to review or
edit any Collective Content, STUDENT OUTREACH has the right to do so for the

purpose of operating the Website, ensuring your compliance with these User Terms,
or complying with the applicable law or the order or requirement of a court,
administrative agency, or other governmental body. STUDENT OUTREACH also
reserves the right, at any time and without prior notice, to remove or disable access
to any Collective Content that STUDENT OUTREACH, at its sole discretion,
considers to be in violation of these User Terms or otherwise harmful to the Website,
the Service or Website.

CONDITIONS FOR USE OF WEBSITE

This is a legal agreement between you and STUDENT OUTREACH regarding the
use of their website. By using the website, you agree to comply with the rules and
regulations set forth by STUDENT OUTREACH.

According to the Information Technology (Intermediaries guidelines) Rules 2011,
STUDENT OUTREACH reserves the right to terminate your access to the website
and remove any non-compliant information if you do not comply with the user
agreement and privacy policy.

You are responsible for providing accurate and complete information to STUDENT
OUTREACH, and they have the right to verify this information and refuse service
without giving a reason.
In accordance with the guidelines, you agree not to post or share any information or
item that belongs to someone else without their permission, is harmful, harassing,
obscene, or violates any laws or infringes on any intellectual property rights.

STUDENT OUTREACH also has the right to block or remove any content that they
believe is not in accordance with this agreement or infringes on any third-party rights.
You agree to notify STUDENT OUTREACH of any content that breaches these terms
and provide sufficient information to investigate the matter.

STUDENT OUTREACH will make a good faith effort to investigate any complaints
and take necessary action, but they do not guarantee that all non-compliant content
will be removed.

CONSEQUENCES OF BREACH OF TERMS

STUDENT OUTREACH reserves the right to take necessary action, including but not
limited to limiting your activity, immediately removing your information, ending your
registration, warning other Users of your actions, temporarily or indefinitely
suspending or terminating or blocking your membership, and/or refusing to provide
you with access to the Website, in case of the following events:
Breaching the EULA or Privacy Policy or any other documents, agreements, rules,
policies, terms, and conditions as incorporated herein by reference;
Failure to verify or authenticate any information provided by you; or
Belief that your actions may cause legal liability for other Users or STUDENT
OUTREACH.
Users who have been suspended or blocked may not attempt to register with
STUDENT OUTREACH or use the Website until permitted to do so by STUDENT
OUTREACH.
In case of a breach of the EULA or any other incorporated documents, STUDENT
OUTREACH reserves the right to forfeit the money paid by you to STUDENT
OUTREACH and to take strict legal action, including but not limited to referring the
matter to the appropriate police or other authorities for initiating criminal or other
proceedings against you.
STUDENT OUTREACH may initiate civil and/or criminal proceedings against any
user who furnishes invalid/false claims or misleading information to STUDENT
OUTREACH.
Any person who knowingly and with an intent to injure, defraud or deceive STUDENT
OUTREACH, files fraudulent information containing false, incomplete, or misleading
information shall be guilty of a criminal offence and will be prosecuted to the fullest
extent of the law.

DEFICIENCY IN SERVICE

STUDENT OUTREACH has the authority to temporarily or permanently suspend or
terminate your registration and deny you access to the Website, at its discretion.
Such actions by STUDENT OUTREACH shall not be considered a deficiency in
service under the law. By using the Website, you expressly waive your right to
challenge such suspension or termination of services.

INDEMNITY

You acknowledge and agree that any harm caused to STUDENT OUTREACH due to
your unauthorized use of the website or its contents, such as intellectual property
violations or breaches of the EULA terms and conditions, shall be solely your
responsibility.
By accepting the User Terms and utilizing the Website or Services, you also agree to
indemnify and hold STUDENT OUTREACH, its affiliates, third parties, and their
respective officers, directors, agents, employees, and shareholders harmless from
any losses, liabilities, damages, costs, and expenses (including reasonable
attorneys’ fees) resulting from or related to:
Your violation of any term of the User Terms or any applicable laws or regulations,
whether or not explicitly stated herein;
Your infringement of any third-party rights, including experts arranged via the
Website; or
Your usage or misuse of the Website or Services.

LIABILITY

The information, recommendations, and/or services provided on or through the
Website and the Service are intended as general information and guidance only and
do not constitute a commitment of performance by the user in any manner.
Although STUDENT OUTREACH will make reasonable efforts to keep the site and
its contents correct and up to date, it does not guarantee that the contents of the
Website are free of errors, defects, malware, or viruses, or that the Website is
correct, up to date, or accurate.
While STUDENT OUTREACH strives to provide the highest quality services
possible, it shall not be liable for any interruption in service for any reason
whatsoever.

STUDENT OUTREACH may permit third-party advertisements on the website and
shall not be responsible for the contents, assurances, services, or anything relating
to such third-party advertisements in any manner whatsoever.

LIMITATION OF LIABILITY

STUDENT OUTREACH shall not be liable for any damages, whether direct, indirect, incidental, special, consequential, or exemplary, including but not limited to damages for non-admission/performance, loss of goodwill, use, data or other intangible losses arising out of or in connection with the website, its services, or this agreement (however arising, including negligence), to an amount exceeding the fees received by STUDENT OUTREACH from the complainant user/s.

STUDENT OUTREACH shall assume no liability for any monetary or other damage suffered by you due to:

Delay, failure, interruption, or corruption of any data or other information transmitted in connection with the use of the Website; orAny interruption or errors in the operation of the Website.

COMMUNICATION POLICY

You are not allowed to have any direct or indirect communication with STUDENT OUTREACH’s counselors/consultants except for the purposes related to the services you have availed.

STUDENT OUTREACH will mediate communication between you and the counselors, which will be restricted to the services you have availed, and STUDENT OUTREACH will not be held responsible for any communication beyond the scope of the services availed by you.

Any violation of this policy may result in various consequences, such as cancellation of your registration, limitations on account privileges, account suspension, or compensation for breach of duty, as well as other legal proceedings as per the law.

NOTICE

STUDENT OUTREACH has the option to give notice through a general notice posted on the Website, or via email to the email address listed in your STUDENT OUTREACH account information, or through written communication sent by regular mail to the address on record in your account information.

You agree that any agreements, notices, disclosures, and other communications that are provided to you electronically by STUDENT OUTREACH will be considered adequate and satisfy any legal requirements for written communication under the current EULA.

FEEDBACK

While STUDENT OUTREACH welcomes user suggestions to improve its services for the benefit of both the users and STUDENT OUTREACH, it reserves the right to not be bound by such suggestions.

DISPUTE RESOLUTION

The parties shall make an attempt to resolve any dispute arising from your use of the Website or related to the validity, interpretation, implementation, or alleged breach of any provision of the User Agreement or referenced documents through mutual discussion. If the discussion fails to resolve the dispute, STUDENT OUTREACH will appoint an independent and neutral third-party arbitrator to settle the matter. The place of arbitration shall be Kolkata, West Bengal India and the proceedings shall be conducted in English in accordance with the Arbitration & Conciliation Act, 1996.

JURISDICTION

The jurisdiction for any dispute arising from this agreement shall be exclusively held in the courts of Kolkata, West Bengal, and you agree not to challenge the jurisdiction clause in any way and accept the court’s jurisdiction in Kolkata, West Bengal.

SEVERABILITY

If any clause of this Agreement is found to be invalid, void, or unenforceable for any reason, such a clause shall be considered separable and shall not affect the validity and enforceability of the remaining clauses of the Agreement.

GENERAL

You are not allowed to assign or transfer this agreement or any rights granted under it to any third party. However, STUDENT OUTREACH may transfer its rights and obligations (also known as “assigning”) under this Agreement without your prior express consent, as long as STUDENT OUTREACH assigns the Agreement on the same terms or terms that are not less advantageous to you.

Legal Advice

You agree that you have had every opportunity to seek legal advice on the present agreement and have understood the legal implications of every clause before agreeing to the same in its entirety and using the Website.
